1. Research use only

All ONYX products are sold strictly for in-vitro laboratory research use only (RUO). Not for human or veterinary use. Products are not drugs, foods, cosmetics, medical devices or dietary supplements, and must not be administered to, ingested by, applied to or otherwise introduced into humans or animals.

Products may not be used for diagnostic, therapeutic, clinical or household purposes, and may not be relabeled, repackaged or resold for any such purpose.

2. Buyer eligibility

You may purchase only if you are at least 21 years old and a qualified researcher, or are acting on behalf of a qualified research institution, laboratory or business with the training, facilities and authority to handle research chemicals.

By placing an order you represent that these statements are true. We may request verification of your identity, affiliation or intended use at any time, and may refuse or cancel any order at our sole discretion.

3. No medical claims; FDA statement

Nothing on this site, in our emails, on our labels or from our staff is medical advice or a claim that any product is safe or effective for any use in humans or animals. ONYX does not provide dosing, preparation, administration or usage guidance.

These products have not been approved by the U.S. Food and Drug Administration (FDA). Statements on this site have not been evaluated by the FDA. Products are not intended to diagnose, treat, cure or prevent any disease.

4. Buyer responsibility and legal compliance

You are solely responsible for ensuring that your purchase, possession, import, storage, use and disposal of products complies with all applicable federal, state, local and international laws, regulations and institutional policies.

You assume all responsibility for the use of products after delivery, including obtaining any permits or approvals your research requires.

5. Handling, storage and safety

Products are intended for handling only by trained personnel in an appropriately equipped laboratory using proper personal protective equipment and safe laboratory practices.

Store products as indicated on the label and product page (typically refrigerated at 2–8 °C, or frozen for long-term storage) and away from light and moisture. Dispose of materials in accordance with applicable regulations. Keep out of reach of children.

6. Certificates of analysis and product information

Certificates of analysis (COAs) are provided per lot and reflect testing of representative samples at the time of analysis. Reference values on product pages are typical for the compound; lot-specific results are on the COA.

We strive for accuracy but do not warrant that descriptions, images or other content are complete, current or error-free, and we may correct errors at any time.

7. Orders, payment and pricing

An order is an offer to purchase and is accepted only when we confirm it. We may limit quantities, refuse, or cancel orders, including for suspected misuse, fraud, pricing errors or ineligibility, and will refund any payment received for a cancelled order.

Prices are in U.S. dollars and may change without notice. Prices and shipping charges are confirmed by our server at checkout. For manual payment methods, orders are reserved when placed and ship once payment is confirmed. You are responsible for any applicable taxes.

8. Shipping and risk of loss

Orders ship within the United States to qualified research addresses using cold-chain packaging. Delivery estimates are not guaranteed.

Title and risk of loss pass to you when products are delivered to the carrier. Please inspect your shipment promptly upon arrival.

9. Returns and refunds

Because products are temperature-sensitive research materials, we cannot accept returns of delivered items. If an order arrives damaged, incomplete or outside temperature, email us within 48 hours of delivery with your order number and photos and we will replace or refund the affected items.

Refunds are issued to the original payment method. Orders may be cancelled for a full refund before they ship.

10. Disclaimer of warranties

Except as expressly stated in a COA, products and this site are provided “as is” and “as available.” To the fullest extent permitted by law, ONYX disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, ONYX and its owners, employees, sales representatives and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any damages arising from misuse of products or use contrary to these terms.

Our total liability for any claim relating to a product or order will not exceed the amount you paid for that order.

12. Indemnification

You agree to defend, indemnify and hold harmless ONYX and its owners, employees, sales representatives and suppliers from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising from your purchase, handling, use or resale of products, your violation of these terms, or your violation of any law or third-party right.

13. Accounts and sales-representative conduct

You are responsible for keeping your account credentials confidential, for all activity under your account, and for keeping your information accurate. We may suspend or close accounts that violate these terms.

ONYX sales representatives are not authorized to make medical claims, give dosing or usage guidance, or alter these terms. Orders placed through a representative are subject to these terms and require the customer’s research-use confirmation. Please report any representative conduct inconsistent with these terms to us.

14. Intellectual property

The ONYX name, logos, label designs, photography, text and software on this site are owned by ONYX or its licensors and protected by intellectual-property laws. You may not copy, modify or use them without our prior written permission.

15. Privacy

We collect and use the information you provide, such as your name, contact details, shipping address and order history, to process orders, verify eligibility, provide support and send the communications you request. We do not sell your personal information. Payment details are handled by our payment processors. You may unsubscribe from marketing emails at any time.

16. Governing law

These terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in [State], and you consent to their jurisdiction.

17. Changes to these terms

We may update these terms from time to time. Changes take effect when posted on this page with a new effective date. Continued use of the site or placing an order after changes are posted constitutes acceptance of the updated terms.
